Karachi: In a significant corporate reshuffle following its merger with TPL Life Insurance Limited, Dar Es Salaam Textile Mills Limited has announced comprehensive changes to its leadership and corporate structure. The changes, effective as of June 13, 2024, include new appointments across its board and executive team, alongside strategic adjustments to its operational and fiscal calendar.
According to information available from the Pakistan Stock Exchange (PSX), the merger, approved by the Honourable High Court of Sindh at Karachi on June 10, 2024, has precipitated the automatic cessation of the former Directors of Dar Es Salaam Textile Mills. Their positions have been filled by Directors from TPL Life. The new board includes Mr. Jameel Yusuf Ahmed as Chairman and Mr. Saad Nisar as the Director and Chief Executive Officer. Other new Directors are Mr. Muhammad Ali Jameel, Mr. Muhammad Aminuddin, Mr. Farrukh Shauket Ansari, Syed Nadir Shah, and Ms. Muneeza Kassim.
This transition is pending approval from the Securities and Exchange Commission of Pakistan under the stringent Insurance Companies (Sound and Prudent Management) Regulations, 2012. Additionally, the company has appointed Ms. Shayan Mufti as the new Company Secretary, replacing Mr. Shahid Amin Chaudhry.
In the financial domain, the audit responsibilities have transitioned from M/s. Rizwan and Co Chartered Accountants to M/s. BDO Ebrahim and Co. Chartered Accountants. Conforming to the merger's stipulations, Dar Es Salaam Textile Mills has not only altered its financial year to January 01 - December 31 but is also slated to change its corporate name to TPL Life Insurance Limited and its principal business line, pending regulatory approvals.
These sweeping changes mark a strategic realignment and expansion of the company's operational focus, aligning with broader industry trends and regulatory frameworks.
