TPL Corp Requests Extension for AGM and Director Elections

Karachi: TPL Corp Ltd has formally requested a 30-day extension to conduct its Annual General Meeting (AGM) originally scheduled for October 28, 2024, as well as an extension for the election of directors, according to official documents.

The company, listed on the Pakistan Stock Exchange, submitted an application to the Securities and Exchange Commission of Pakistan (SECP) on October 4, 2024, seeking approval for the delay. The documents cite the need for additional time to finalize the company's annual report, which includes comprehensive financial statements and accounts from the fiscal year ending June 30, 2024. According to information available from the Pakistan Stock Exchange (PSX), the delay is attributed to the company's inability to complete the required documentation within the previously stipulated timeframe.

In addition to the AGM, the terms of the current board of directors are set to expire. The delay will also allow for the simultaneous election of new directors, which the company aims to conduct during the rescheduled AGM now proposed for November 27, 2024. The application for the extension also aligns with Sections 132 and 158 of the Companies Act, 2017, which allows for such adjustments under extenuating circumstances.

TPL Corp's request includes a comprehensive affidavit by Shayan Mufti, the Company Secretary, outlining the reasons for the extension and the steps taken thus far to inform stakeholders, including TRE Certificate Holders. This move is expected to be assessed by the SECP in the coming weeks, with implications for the company's governance and operational transparency.
