Faisalabad: M/S. S. A Rice Mills (Pvt.) Limited has been penalized for failing to file its audited financial statements for the year 2023 within the stipulated timeframe as mandated by the Companies Act, 2017. This decision was announced by the Adjudication Officer from the Adjudication Department-II in Lahore on March 14, 2024, following a series of hearings and proceedings against the company.
The issue arose when the company neglected to file the necessary financial documents with the Registrar, a requirement under Section 233 of the Companies Act, 2017. This failure to comply prompted the issuance of a Show Cause Notice (SCN) on February 07, 2024, which initiated the legal proceedings. The notice was intended to solicit a response from the company regarding their non-compliance and to ascertain the reasons behind their lack of adherence to the stipulated regulations.
Despite multiple opportunities to present their case, representatives from S. A Rice Mills only appeared once, and even then, they failed to provide a satisfactory explanation for their oversight. According to Mr. Shand Mehmood, an authorized representative who appeared on behalf of the company on March 13, 2024, the delay was due to restructuring within the finance and accounts department, which led to the inadvertent omission of filing the required documents.
According to information available from the Pakistan Stock Exchange (PSX), the consequence of this non-compliance is a penalty imposed on the company. The Adjudication Officer, after considering the arguments and reviewing the facts, concluded that the company's actions were deliberate and indicative of systemic weaknesses in its management systems. As a result, a fine of Rs. 10,000 has been levied against the company, as per the provisions under Section 233(4) read with Section 479 of the Companies Act, 2017.
The Adjudication Officer emphasized the importance of timely and accurate financial disclosures, highlighting that financial statements are crucial for providing stakeholders with reliable information about a company's financial position and performance. The officer further noted that directors are responsible for ensuring the company's compliance with legal and regulatory requirements, emphasizing the need for meticulous adherence to laws governing the preparation and dissemination of financial statements.
In conclusion, the penalty serves as a reminder of the importance of compliance with corporate governance regulations. The company is required to deposit the fine into a designated bank account within thirty days of receiving the order, failing which further recovery proceedings may be initiated. This order does not preclude any additional actions that the Securities and Exchange Commission of Pakistan may undertake in the future, should other violations come to light.
