Lahore: The Securities and Exchange Commission of Pakistan (SECP) has issued a penalty against Mis. Rantex (Pvt.) Limited and its directors, including the chief executive, following their failure to file audited financial statements for the year ended 2023 within the stipulated timeline, as required by the Companies Act, 2017. This decision was made public through an official order issued on April 29, 2024.
The proceedings were initiated through a Show Cause Notice (SCN) dated February 07, 2024, under Sections 233 and 479 of the Companies Act, 2017. The company's non-compliance with Section 233, which mandates timely submission of audited financial statements to the Registrar, led the SECP to impose a penalty. According to the Act, a penalty of level-i on the standard scale is applicable in such cases.
Despite multiple hearing opportunities provided on February 16, February 26, and March 05, 2024, neither the company nor its chief executive/directors attended any of the hearings or submitted a response. The SECP emphasized that the delivery of all notices was confirmed as they were sent via courier to the registered addresses of the company and its executives.
In a detailed analysis, the SECP highlighted the importance of timely and accurate financial reporting. Such disclosure requirements are crucial for maintaining transparency and providing reliable information about a company's financial position and management's resource stewardship. Conclusively, the Adjudication Officer, authorized by the SECP, decided to penalize Mis. Rantex (Pvt.) Limited with a lump sum fine of Rs. 15,000/-. This penalty concludes the SCN proceedings, but the order also states that further actions may be considered by the Commission based on subsequent investigations or information.
The chief executive of Mis. Rantex (Pvt.) Limited is required to deposit the penalty in the designated bank account maintained with MCB Bank Limited or UBL Bank Limited in the name of the Securities and Exchange Commission of Pakistan within thirty days of receiving the order. Failure to comply will result in recovery proceedings against the company.
