Bashir Printing Industries Faces Penalty for Non-Compliance with Companies Act

Lahore: Bashir Printing Industries (Pvt.) Limited, a key player in the printing industry, has been penalized by the Securities and Exchange Commission of Pakistan (SECP) for failing to file its audited financial statements for the year 2023 within the statutory deadline. The proceedings, carried out under Section 233 read with Section 479 of the Companies Act, 2017, concluded with a significant penalty imposed on the company.

On February 07, 2024, the SECP issued a Show Cause Notice (SCN) to Bashir Printing Industries and its directors, including the chief executive, after the company failed to submit the required financial documents to the Registrar in accordance with the law. This failure rendered the company liable to a penalty as stipulated by the Act. Despite multiple opportunities for a hearing provided on February 16 and March 05, 2024, the company and its representatives did not appear, leading to an ex-parte decision.

According to information available from the Pakistan Stock Exchange (PSX), the failure to comply with Section 233 of the Companies Act, 2017, highlights significant systemic weaknesses within the company's management and internal controls. The Act mandates that audited financial statements must be filed with the Registrar within thirty days of the annual general meeting for listed companies and within fifteen days for others, to ensure transparency and reliability of financial information.

The SECP's Adjudication Officer, empowered by Notification S.R.O. 1546 (1)/2019, found the company's non-compliance deliberate and concerning, warranting serious action. Consequently, a lumpsum penalty of Rs. 1,500,001 was imposed. The chief executive of Bashir Printing Industries has been instructed to deposit the penalty within thirty days of the order's receipt, failing which further recovery proceedings may be initiated.

This penalty reflects the SECP's commitment to enforcing compliance and ensuring that companies adhere to the legal frameworks governing financial disclosures.
