Lahore: Mis. Moosa Textile Mills (Pvt.) Limited has recently been issued a warning by the adjudication authorities for its failure to file audited financial statements for the year 2023 within the required timeframe. This development stems from proceedings initiated under Section 233 read with Section 479 of the Companies Act, 2017, after a Show Cause Notice (SCN) was issued on February 07, 2024.
The SCN was a result of the company's non-compliance with Section 233 of the Companies Act, which mandates the filing of financial statements with the Registrar within a specified period. The company defaulted by not submitting its financial statements within the stipulated timeline, thereby contravening the regulations and making itself liable to a penalty.
The authorities provided multiple opportunities for Moosa Textile Mills to present their case, with hearings scheduled on February 16, February 26, and March 05, 2024. However, the company and its representatives failed to appear on all occasions. Despite these no-shows, it was later confirmed that Moosa Textile Mills managed to file the necessary returns with the Registrar during the adjudication process.
According to information available from the Pakistan Stock Exchange (PSX), the company has now complied with the legal requirements, avoiding any financial penalties. Instead, the adjudicating officer, under the delegated powers, has issued a warning to the company and its directors, urging them to ensure future compliance with the law.
The authorities have highlighted the importance of timely and accurate financial reporting, emphasizing that such practices are essential for transparency and the maintenance of trust with stakeholders. Directors of the company are reminded of their fiduciary duties to make informed business decisions and ensure adherence to legal standards.
