Lahore: M/S Al-Rehman Cloth Export (Pvt) Ltd, a company operating within the textile and cloth export market, has been penalized for failing to file its audited financial statements for the year ending 2023. The penalty was imposed following proceedings under Section 233 read with Section 479 of the Companies Act, 2017, initiated by a Show Cause Notice (SCN) issued on February 07, 2024.
The company, along with its directors including the chief executive, did not meet the deadline for submitting their financial statements to the Registrar, as mandated by the Act. This oversight led to the issuance of the SCN, which required the respondents to justify in writing why they should not face penal action. Despite multiple opportunities for hearings scheduled on February 16, 2024, and March 05, 2024, the company and its representatives failed to appear, either personally or through an authorized delegate.
The Act stipulates that companies must file their financial statements within thirty days of their annual general meeting for listed companies, and within fifteen days for others. The non-compliance by Al-Rehman Cloth Export indicates significant deficiencies in their management systems and internal controls, prompting the Commission to take serious action.
According to information available from the Pakistan Stock Exchange (PSX), the financial disclosure requirements are critical for ensuring transparency and providing users with a reliable source of information regarding a company's financial health. The Commission emphasizes that directors must ensure timely financial and operational reporting to comply with legal standards.
Given the repeated absence and lack of response from the company, the Adjudication Officer was compelled to decide the matter ex-parte. Consequently, a lump-sum penalty of Rs. 10,000 was imposed on the company. The chief executive has been instructed to deposit this penalty in the designated bank account of the Securities and Exchange Commission of Pakistan (SECP) within thirty days of receiving the order, with proof of payment to be submitted to the Commission.
This penalty is issued without prejudice to any further actions the Commission may undertake based on subsequent investigations or findings. Failure to comply with this order could result in recovery proceedings against the company and its representatives.
