AHR Industries Fined for Non-Compliance with Companies Act, 2017

Lahore: AHR Industries (Private) Limited has been penalized by the Securities and Exchange Commission of Pakistan (SECP) for failing to file its audited financial statements for the year ended 2023 within the prescribed timeline, as mandated by Section 233 of the Companies Act, 2017. The penalty was announced in an order issued following proceedings initiated through a Show Cause Notice (SCN) dated April 29, 2024.

According to the order, AHR Industries and its directors, including the chief executive, were found in default for not submitting the required financial documents to the Registrar. The company was initially served with a Show Cause Notice to explain the non-compliance, but failed to respond effectively within the given opportunities. The representatives of the company, including Mr. Javed Iqbal Qazi, cited restructuring of the finance and accounts department as the reason for the oversight, but this argument was deemed insufficient by the adjudicating authorities.

The SECP's Adjudication Officer, Lahore, emphasized that the provisions of Section 233 are explicit and vital for ensuring transparency and accountability in a company's financial reporting. The failure of AHR Industries to comply with these requirements was seen as a serious breach, reflecting systemic weaknesses in the company's management and internal controls.

According to information available from the Pakistan Stock Exchange (PSX), the non-compliance by AHR Industries is considered a significant violation, necessitating stern action. The SECP has imposed a penalty of Rs. 10,000 on the company, marking the conclusion of the SCN proceedings. The chief executive has been directed to deposit the penalty within thirty days to avoid further recovery proceedings.

The order serves as a reminder for all companies to adhere strictly to the legal requirements for financial reporting, ensuring that directors exercise due diligence in fulfilling their fiduciary duties to promote transparency and protect shareholder interests.
