Inheritance Transfers Impact Shareholding Structure at Hi-Tech Lubricants Limited

Karachi: On February 25, 2025, Hi-Tech Lubricants Limited reported a series of share transactions involving the transfer of shares from a deceased director to current directors and a substantial shareholder. This disclosure was made under clause 5.6.4 of the Pakistan Stock Exchange (PSX) Regulations, indicating a change in the shareholding structure without any trading activity.

The transactions, executed on February 19, 2025, involved the transfer of shares from the late Mr. Tahir Azam, a former non-executive director, to four individuals, including current directors and a substantial shareholder. The shares were transferred through inheritance, as per the Succession Certificate issued by a court of competent jurisdiction.

Mr. Hassan Tahir, an executive director, received 157,500 shares through inheritance, increasing his cumulative shareholding to 9,158,123 shares, representing 6.57% of the company's total shares. Ms. Mavira Tahir, a non-executive director, inherited 78,750 shares, bringing her total to 6,079,061 shares, equating to 4.36%. Similarly, Ms. Mehvish Khan, another non-executive director, also received 78,750 shares, increasing her cumulative holding to 8,079,061 shares, or 5.80%.

Mrs. Uzra Tahir, a substantial shareholder, inherited 45,000 shares, raising her total shareholding to 29,342,755 shares, which constitutes 21.07% of the overall shares in the company. These transfers were executed without any monetary consideration or impact on market prices.

According to information available from the Pakistan Stock Exchange (PSX), these transactions do not constitute a price-sensitive activity, as they are non-trading in nature and solely involve the legal transfer of shares due to inheritance.

The company has informed the TRE Certificate Holders of the Exchange regarding these transactions. The designated market category for Hi-Tech Lubricants Limited remains unaffected by these internal changes, with the company continuing its operations within the regulatory framework of the PSX.
