Saif Power Limited Schedules Extraordinary General Meeting to Renew Finance Facility

Islamabad: Saif Power Limited has announced that it will hold an Extraordinary General Meeting (EOGM) on April 15, 2025, at the Islamabad Hotel located at G-6 Civic Centre, Melody Chowk, Islamabad. The meeting is scheduled to commence at 11:00 am.

The primary agenda of this meeting is to confirm the minutes from the previous Extraordinary General Meeting held on April 15, 2024, and the Annual General Meeting on April 29, 2024. Additionally, the meeting will focus on a special business item concerning the renewal of a running finance facility limit extended to Saif Power Limited’s associated company, Saif Textile Mills Limited.

The resolution seeks shareholder approval to renew an unsecured Running Finance Facility limit amounting to Rs. 1.50 billion. According to information available from the Pakistan Stock Exchange (PSX), this facility was initially approved during the previous EOGM on April 15, 2024, and the renewal will extend the facility for another year. The resolution also authorizes the Chief Executive Officer or any director of Saif Power Limited to perform necessary actions to implement the resolution and fulfill legal formalities.

The Share Transfer Books of Saif Power Limited will remain closed from April 09, 2025, to April 15, 2025, inclusive of both days. Transfers received by the close of business on April 08, 2025, will be eligible for consideration. Shareholders entitled to vote at the EOGM may appoint a proxy to vote on their behalf, with the required documentation to be deposited at the company’s Registered Office no later than 48 hours before the meeting.

To facilitate participation, Saif Power Limited offers a video conference option for shareholders who cumulatively hold at least 10% of shares and provide consent seven days prior to the meeting. Additionally, an online platform will be available for participation via webinar or video conferencing software, with login access starting at 10:50 am on the day of the meeting. Participants are required to pre-register by providing identification information through email 48 hours before the EOGM.
