Lahore: Unity Foods Limited convened an Extra-Ordinary General Meeting on March 27, 2025, at the Nine Tree Luxury Hotel and Suites in Lahore, where shareholders passed resolutions regarding the election of directors and the relocation of the company's registered office.
During the meeting, which adhered to Regulation No. 5.6.9(b) of the Pakistan Stock Exchange Rule Book, the shareholders elected seven directors to serve a three-year term starting from March 27, 2025. The newly elected board members include Mr. Muhammad Farrukh Amin, Mr. Aamir Altaf Qureshi, Mr. Aamir Shehzad, Mr. Aamir Amin, Ms. Lie Hong Elwa, Mr. Mansoor Yakoob, who will serve as an Independent Director, and Mr. Safdar Ali Butt.
In addition to filling board positions, the shareholders approved a significant change in the company's administrative operations. They authorized the relocation of Unity Foods Limited's registered office from its current location at Ground Floor, TAMC Building, 27-C-3, M. M. Alam Road, Gulberg-III, Lahore, in the Province of Punjab, to Unity Tower, 8C, P.E.C.H.S. Block-6, Karachi, in the Province of Sindh.
According to information available from the Pakistan Stock Exchange (PSX), this relocation necessitates an amendment to Clause II of the Memorandum of Association of the Company, which will now state that the registered office shall be situated in the Province of Sindh.
The resolution further empowered the Chief Executive Officer and the Company Secretary to execute all necessary actions for this transition. This includes seeking approval from the Securities and Exchange Commission of Pakistan, filing requisite returns with the Registrar of Companies, and ensuring compliance with the Companies Act, 2017, to formalize the office's relocation from Lahore to Karachi.
