Systems Limited Expands Share Capital Through Employee Scheme

Karachi: Systems Limited has announced an increase in its issued share capital following the allocation of shares under the Employees' Share Option Scheme (ESOS). The company's issued share capital has been augmented from 293,116,150 ordinary shares to 293,483,150 ordinary shares, with the addition of 367,000 new ordinary shares. This development was disclosed on October 23, 2023, to inform shareholders and the investing public.

According to information available from the Pakistan Stock Exchange (PSX), the issuance of new shares resulted in a total consideration of Rs. 135.77 million received by the company. Each of the 367,000 shares was issued at Rs. 10, as verified by an auditor's certificate. The allotment of these shares is part of Systems Limited's strategic move to engage and retain employees through its ESOS initiative.

In a subsequent adjustment scheduled for May 31, 2025, a share subdivision will take effect, adjusting the total number of issued shares from 293,483,150 to 1,467,415,750 ordinary shares. This subdivision will be executed on a 1:5 basis, reflecting a strategic approach to align the company's financial structuring with market expectations.

The transaction and share capital increase are executed in compliance with the Companies Regulations, 2024. Systems Limited continues to maintain transparency in its financial dealings, ensuring that shareholders are informed of significant changes and developments within the company.
