Karachi: ZIL Limited has announced the unopposed election of its new board of directors, following the scheduled Extraordinary General Meeting (EOGM) set to occur on June 18, 2025. The announcement was made in accordance with Section 159(4) of the Companies Act, 2017, as detailed in a notice to be published in both Business Recorder and Nawa-i-Waqt on June 11, 2025.
The company informed its shareholders that seven candidates have declared their intention to serve as directors. These candidates include Dr. Salomon Jacobus Van Rooijen, Mrs. Feriel Ali Mehdi, Mr. Muhammad Irfan-ul-Haq, Mr. Mubashir Hasan Ansari, Mr. M. Salman H. Chawala, Mr. Ahsan Rashid (Independent), and Mrs. Faeyza Khan Faheem (Independent).
Since the number of candidates equals the number of director positions as per the company's board decision, the nominees are deemed elected without contest. Their term will begin on July 01, 2025, and will last three years.
According to information available from the Pakistan Stock Exchange (PSX), the independent directors have met all necessary requirements concerning experience, competencies, diversity, skills, and knowledge, in compliance with Section 166 of the Companies Act, 2017 and relevant regulations.
The election process and its results will be confirmed at the EOGM, which will take place in Karachi and be accessible to shareholders via a video-link facility, ensuring wider participation.
