Haleon Pakistan Limited Urges Shareholders for Mandatory Conversion of Physical Shares to Book-Entry Form

Karachi: Haleon Pakistan Limited has issued a reminder to its shareholders emphasizing the mandatory conversion of physical shares into a book-entry form. This move aligns with the requirements outlined in section 72 of the Companies Act, 2017, and the Securities and Exchange Commission of Pakistan's (SECP) communication dated March 26, 2021. The company aims to ensure full compliance with applicable legal requirements through this conversion process.

According to the company's announcement, shareholders are required to deposit their physical shares into the Central Depository System (CDS), an electronic book-entry system managed by the Central Depository Company of Pakistan Limited (CDC). This system is utilized for recording, maintaining, and registering securities transfers. The conversion process involves several steps, including completing the Securities Deposit Form, transmitting a Deposit Request to the CDC, and signing the necessary transfer deed or other transfer instruments.

To facilitate the conversion, shareholders must dispatch the registrable transfer documents, along with a copy of the securities deposit form and a computer-generated acknowledgment of the deposit request transaction, to the company or its Share Registrar. A copy of the securities deposit form should also be retained by the shareholder for their records.

In addition to the conversion of shares, Haleon Pakistan Limited reiterated its efforts under Section 244 of the Companies Act, 2017, to notify shareholders of unclaimed dividends and share certificates. Shareholders who have not yet claimed their dividends or share certificates are urged to contact the company to claim their outstanding amounts. This can be done by sending a cover letter, a completed e-dividend mandate form, and a copy of a valid CNIC to the company's Share Registrar office in Karachi.
