Agritech Limited Holds Annual General Meeting with Key Elections and Resolutions

Lahore: Agritech Limited convened its Annual General Meeting (AGM) on April 28, 2025, in Lahore and via video link, with significant participation from its shareholders and board members. The meeting addressed several crucial agenda items, including the adoption of financial statements and the election of directors for the upcoming term.

The AGM was attended by 108 members, representing 94.79% of the total voting rights of the company, either in person, via video link, or through proxies. This high level of participation saw representation from major shareholders such as Fauji Fertilizer Company Limited and Maple Leaf Cement Factory Limited. Notably absent from the meeting was Mr. Osman Malik, who had submitted a leave of absence.

The meeting began with a recitation from the Holy Quran, followed by formal introductions of the directors and management team. Company Secretary, Asma Irfan, facilitated the proceedings, which included confirming the minutes of the previous Extraordinary General Meeting and adopting the audited financial statements for the year ended December 31, 2024.

A significant portion of the meeting was dedicated to the election of directors. The Board of Directors fixed the number of directors at nine, pursuant to a requisition under the Companies Act, 2017. The newly elected directors, who will serve a term of three years from April 28, 2025, include Mr. Shahid Iqbal Choudhri, Mr. Osman Malik, and several others.

According to information available from the Pakistan Stock Exchange (PSX), Agritech Limited is classified under the fertilizer sector, a critical component of the agricultural industry. The AGM also included the consideration of special resolutions to amend the Articles of Association of the company, as proposed by the Board of Directors.

Additionally, the appointment of external auditors for the financial year ending December 31, 2025, was discussed. M/s. Grant Thornton Anjum Rahman & Co. offered themselves for reappointment, a decision that was deliberated during the meeting.

The AGM concluded with discussions on other business matters, conducted with the permission of the Chair, highlighting the collaborative and inclusive approach of the company's governance.
