Kohat Cement Approves Leadership Reappointments and Real Estate Subsidiary Formation

Lahore: The Board of Directors of Kohat Cement Company Limited has approved several strategic decisions during a meeting held on July 10, 2025. The company announced the re-appointment of Mr. Aizaz Mansoor Sheikh as Chairman and Mr. Nadeem Atta Sheikh as Chief Executive, both for a term of three years.

In a move to diversify its operations, Kohat Cement has decided to establish a wholly-owned subsidiary named 'Ultra Properties (Private) Limited'. This new entity will engage in real estate activities, including marketing and development of properties for sale or rental purposes, pending regulatory approvals. The Board plans to lease one of its investment properties to this subsidiary for the construction of commercial buildings intended for rental. An investment of up to PKR 750 million has been approved for this purpose, through equity and/or interest-bearing loans.

Additionally, the Board has proposed a sub-division of the company's shares, altering the face value from Rs. 10 to Rs. 2 per share, effectively converting each existing share into five. This proposal requires amending the company's Memorandum of Association, and will be considered at an Extraordinary General Meeting (EOGM) scheduled for August 7, 2025, in Kohat. The company's share register and transfer books will be closed from July 31, 2025, to August 7, 2025, inclusive, with transfers received by July 30, 2025, deemed timely for EOGM participation.

According to information available from the Pakistan Stock Exchange (PSX), Kohat Cement's strategic initiatives represent an effort to expand its operational scope and enhance shareholder value. The decisions reflect an alignment with regulatory frameworks as outlined in the Securities Act, 2015, and PSX regulations.
