Karachi: The Standard Insurance Company Limited has taken significant steps towards reshaping its business identity and focus. During the company's fifty-third annual general meeting held on May 27, 2021, a series of special resolutions were unanimously passed, marking a pivotal change in the company's operational and strategic direction.
The meeting highlighted the decision to address the longstanding issue of the company's insurance license. According to a letter dated October 7, 2020, from the Securities and Exchange Commission of Pakistan (SECP) Insurance Division, the company had not renewed its insurance license since 2000. Consequently, there was no requirement for revocation or a no-objection certificate to alter the company's name. With this legal hurdle addressed, the company is moving forward with a name change to Standard Worldwide Limited, subject to approval from relevant authorities.
The resolutions also included a strategic pivot in the company's principal line of business, shifting focus from insurance to real estate development. This transition is outlined in the proposed changes to the Memorandum of Association, which will now emphasize marketing and development of various real estate projects, including residential and commercial undertakings. The company has committed to adhering to legal requirements and not accepting public deposits.
According to information available from the Pakistan Stock Exchange (PSX), this move is seen as a big move in the company's strategic direction, aligning with its efforts to diversify and capitalize on opportunities within the real estate sector. The company has explicitly stated its intent to avoid engagements in banking, finance, and insurance businesses, among others, to adhere to regulatory guidelines.
The meeting also resolved to authorize Mr. Muhammad Ishtiaq Khan, the company secretary, to finalize the formalities with SECP for the name change. This step signifies a new chapter for the company, as it seeks to redefine its corporate identity and explore new business ventures under the Companies Act 2017. The alterations to the Articles and Memorandum of Association are subject to any suggested modifications by SECP, which will be automatically incorporated into the resolutions without requiring further approval from the members.
As the company transitions, stakeholders await the potential impact of these changes on its market position and financial performance in the designated market category of real estate.
