First Capital Securities Corporation Limited Announces 32nd Annual General Meeting in Lahore

Lahore: First Capital Securities Corporation Limited (FCSC) has scheduled its 32nd Annual General Meeting for October 28, 2025, at 11:45 a.m. at the company’s registered office in Lahore. The meeting will address several key business matters, including the confirmation of the minutes from the Extraordinary General Meeting held on September 24, 2025.

The agenda for the annual meeting includes the adoption of audited financial statements for the year ending June 30, 2025, along with reports from the Chairman, Directors, and Auditors. Additionally, the appointment of auditors for the fiscal year ending June 30, 2026, will be discussed. The election of seven directors, as set by the Board of Directors in accordance with Section 159 (1) of the Companies Act, 2017, will also take place, with the current directors set to retire at the meeting.

The company has announced that the Members Register will be closed from October 21 to October 28, 2025, and any share transfers must be completed by October 20, 2025, to be eligible for the meeting. Shareholders are encouraged to participate and may appoint proxies to vote on their behalf.

The election of directors will follow the guidelines set by the Companies Act, 2017, and the Listed Companies (Code of Corporate Governance) Regulations, 2019. Shareholders interested in contesting the election must submit their intention to the company’s registered office by October 14, 2025. Information on the candidates will be circulated to members seven days before the meeting and published in English and Urdu newspapers.

Shareholders will be able to vote through a postal ballot or e-voting, with procedures outlined in the company’s notice. The e-voting period will run from October 24, 2025, to October 27, 2025, and members must ensure their information is up-to-date to participate.

According to information available from the Pakistan Stock Exchange (PSX), FCSC’s investment decisions concerning its associated companies, Pace Super Mall (Pvt.) Limited and Pace Barka Properties Limited, will also be reviewed. The approved investments stand at 460.00 million PKR and 1.50 billion PKR, respectively. The financial statements reveal significant moves in the share capital and reserves of these companies, with Pace Barka Properties Limited showing a very large move, as its share capital and reserves increased from 6,227.014 million PKR in 2024 to 8,391.93 million PKR in 2025.

The company encourages shareholders with physical shares to convert them into book-entry form and update their contact information as needed. The appointment of Malik Haroon Ahmad & Co. as scrutinizer for the postal ballot process has been confirmed.
