Panther Tyres Limited Announces 42nd Annual General Meeting in Lahore

Lahore: Panther Tyres Limited has officially announced that its 42nd Annual General Meeting (AGM) will take place on Tuesday, October 28, 2025, at 2:30 p.m. The meeting will be held at Faletti’s Hotel, located at 24-Egerton Road in Lahore. This announcement was made public through notices published in The Pakistan Observer in English and Nai Baat in Urdu on October 7, 2025.

The meeting’s agenda, as outlined in the notice, includes several key items of business. Shareholders will be asked to confirm the minutes from the previous AGM held on October 28, 2024. Additionally, the meeting will consider the adoption of the audited financial statements for the fiscal year ending June 30, 2025, accompanied by the Auditors’ Report, Directors’ Report, and Chairman’s Review.

A significant item on the agenda is the proposed cash dividend for the year ended June 30, 2025. The Board of Directors has recommended a dividend payment at a rate of 20%, equivalent to PKR 2.00 per share. This proposal will be put forth for shareholder approval during the meeting.

The appointment of auditors for the upcoming financial year is also on the agenda. The Board has recommended the appointment of M/s A.F. Ferguson & Co., Chartered Accountants, for this role.

In preparation for the meeting, the Register of Members will be closed from October 22, 2025, to October 28, 2025. Only those members whose names appear in the Central Depository System of the Central Depository Company of Pakistan Limited at the close of business on October 21, 2025, will be eligible to receive the announced cash dividend, attend, vote, and appoint proxies at the AGM.

According to information available from the Pakistan Stock Exchange (PSX), electronic transmission and placement of the Annual Report 2025 have been carried out in compliance with Section 223(6) of the Companies Act, 2017. The report is accessible through the PUCARS system of the Pakistan Stock Exchange and the company’s website. Shareholders may also request hard copies of the Annual Report at no cost.

In line with the Securities and Exchange Commission of Pakistan’s directive, Panther Tyres Limited will not distribute any gifts or incentives to shareholders during the AGM. This measure is in accordance with Section 185 of the Companies Act, 2017, and aims to ensure compliance with regulatory standards.

As the AGM date approaches, shareholders are encouraged to update their banking details and other relevant information to facilitate the electronic payment of dividends. The company has emphasized the importance of submitting updated IBAN and tax exemption information, if applicable, to ensure accurate processing of dividend payments and tax deductions.
