Pakistan Telecommunication Company Ltd Executive Conducts Share Transactions

Karachi: Pakistan Telecommunication Company Ltd (PTCL) has disclosed recent share transactions involving one of its executives, Asaad Qadeer, under the PSX Regulation 5.6.4. These transactions are part of routine disclosures required by the Pakistan Stock Exchange (PSX) to ensure transparency and compliance with market regulations.

According to information available from the Pakistan Stock Exchange (PSX), Asaad Qadeer, an executive at PTCL, engaged in two transactions on consecutive days. On September 30, 2025, Qadeer purchased 2,000 shares at a rate of 28.532000 per share. The following day, October 1, 2025, he sold the same number of shares at a rate of 31.100 per share. Both transactions did not result in any cumulative percentage change in shareholding, indicating no change in his overall shareholding position.

The transactions are set to be reviewed by PTCL's Board of Directors, as stipulated in the company's guidelines, and will be documented in the board meeting minutes. PTCL is required to submit these minutes via Form-30 through the PUCARS system. The transactions also adhered to the requirement that the holding period should exceed six months; otherwise, any profits must be submitted to the Securities and Exchange Commission of Pakistan (SECP) as per Section 105 of the Securities Act, 2015.

Furthermore, the company has been tasked with updating the relevant details in the UIN Management System to reflect these transactions promptly. PTCL clarified that all dealings were conducted outside the closed period, ensuring compliance with regulations that prohibit directors, CEOs, or executives from trading in the company's shares during such periods.
