The Board of Directors convened at the company's registered office in Karachi and resolved to submit a formal delisting application to the PSX. The sponsors of Shield Corporation have been authorized to buy back ordinary shares held by minority shareholders, with the price to be determined in accordance with the regulations established by the PSX or the Securities Exchange Commission of Pakistan.
According to information available from the Pakistan Stock Exchange (PSX), the delisting process has been primarily motivated by a set of financial and operational challenges. The company has faced persistently low liquidity, with an average daily trading volume of just 923 shares over the past year. Furthermore, Shield Corporation has reported financial losses for two consecutive years and has not distributed dividends to shareholders since 2021. These factors have contributed to the board's decision to pursue delisting to reduce complexity and enable management to focus on core business operations.
The formal application for delisting will trigger a general meeting of shareholders within 30 days of agreeing on a minimum purchase price with the PSX. The company will close its Register of Members and Share Transfer Books for a period of seven days prior to the general meeting to facilitate this process.
The authorization for executing the delisting lies with the company's Chief Executive, Mr. Mohammad Haroon Qassim, Chief Financial Officer, Mr. Yasir Yousuf Chhabra, and Company Secretary, Mr. Hafiz Muhammad Hasan. These officers are empowered to negotiate with relevant authorities and fulfill all procedural formalities necessary for the delisting and subsequent buy-back of shares.
