Matco Foods Limited Completes Merger of Corn Starch Division

Karachi: Matco Foods Limited has successfully concluded its corporate restructuring process, merging its corn starch division with its wholly owned subsidiary, Matco Corn Products (Private) Limited. This development follows the approval from the High Court of Sindh at Karachi, as announced on December 12, 2025.

The legal proceedings culminated in an order dated December 8, 2025, which sanctioned the Scheme of Arrangement without modifications. Consequently, the merger is now effective as of July 1, 2025. This step was part of a series of disclosures and notices issued by the company over the past year, including those on November 25, 2024, and various dates in 2025.

According to information available from the Pakistan Stock Exchange (PSX), this merger represents a significant move in Matco Foods Limited’s ongoing corporate strategy. The Scheme of Arrangement was pursued under Sections 279 to 283 and 285(5) of the Companies Act, 2017. The petitioners, represented by Advocate Mikael Azmat Rahim, fulfilled all requisite legal formalities, with no objections raised during the process.

The legal representation for the Securities and Exchange Commission of Pakistan (SECP), led by Advocate Syed Flafiz Ebad-ur-Rehman, confirmed that all codal formalities and legal requirements were satisfied, clearing any impediments to the approval of the petition. The court’s decision aligns with the company’s strategic goals and complies with all regulatory frameworks.

The completion of this merger marks a pivotal moment for Matco Foods Limited, a public company with its headquarters in Karachi. Matco Corn Products (Private) Limited will now integrate the corn starch operations, further consolidating the company’s position in the market.
