Sui Southern Gas Company Announces Election of Directors at Extraordinary General Meeting

Karachi: Sui Southern Gas Company Limited (SSGC) has officially announced the election of directors, which will take place during the Extraordinary General Meeting scheduled for Tuesday, December 23, 2025, at the Arena, Jade Hall, Karsaz Service Road, Karachi. This announcement follows the filing of notices by 18 candidates intending to stand for election as directors, as per the provisions of the Companies Act, 2017.

The Company has fixed the number of directors to be elected at 11, in accordance with Section 159(1) of the Companies Act, 2017. Consequently, an election will be conducted as the number of candidates exceeds the number of available positions. The profiles of the candidates, including Mr. Asif Inam, Ms. Saira Najeeb Ahmed, and Mr. Muhammad Ali Khan, have been made available on the Company's official website.

According to information available from the Pakistan Stock Exchange (PSX), the election process will include the selection of an independent director. This individual will be chosen based on experience, competencies, and knowledge, meeting the criteria outlined in Section 166(2) of the Companies Act, 2017, and the State-Owned Enterprises (Governance and operations) Act, 2023.

Shareholders are provided with the option to participate in the voting process either through a postal ballot or via e-voting, ensuring broad accessibility and transparency. The detailed procedure for both voting methods has been communicated, with e-voting lines opening on December 19, 2025, and closing on December 22, 2025.

A scrutinizer, M/s. Yousuf Adil, Chartered Accountants, has been appointed to oversee the election process, ensuring compliance with the Companies (Postal Ballot) Regulations, 2018. This step underscores the company's commitment to a fair and transparent election process.
