United Bank Limited Share Transfer Involving Substantial Shareholders


Karachi: United Bank Limited has reported a notable transaction involving the transfer of shares between substantial shareholders, as detailed in a disclosure dated December 23, 2025. The transaction, executed under PDX Regulation 5.6.4, highlights the movement of shares within the family of a substantial shareholder, reflecting the company’s commitment to transparency in shareholding activities.



According to the disclosure, Mohammad Younus Sheikh, a substantial shareholder of United Bank Limited, transferred 5,626,908 shares as a gift to Farzana Younus Sheikh, his spouse, who is also recognized as a substantial shareholder. This transaction did not involve any monetary consideration, as the shares were gifted, maintaining the cumulative percentage of shares held by Farzana Younus Sheikh at 0.39%.



The transaction was executed through the Central Depository Company (CDC) in the ready market on December 23, 2025. Notably, the transfer of the shares did not result in any change in the cumulative percentage of shares held by Mohammad Younus Sheikh, as the shares were gifted without altering his overall shareholding ratio.



According to information available from the Pakistan Stock Exchange (PSX), such transactions involving substantial shareholders and their immediate family members are required to be disclosed to ensure compliance with regulatory frameworks. This disclosure aims to maintain transparency and uphold investor confidence in the trading activities of publicly listed companies.



The company also noted that these transactions will be presented by the Company Secretary at the next meeting of the Board of Directors. Additionally, any transactions executed within a holding period of less than six months will necessitate the deposit of any equivalent profit with the Securities and Exchange Commission of Pakistan (SECP), as stipulated by the Securities Act, 2015.



United Bank Limited has assured that all requisite details have been promptly updated in the UIN Management System, in alignment with regulatory requirements, ensuring that stakeholders are informed of significant shareholding changes.
