Thal Industries Corporation Limited Announces Annual General Meeting with Key Proposals


Lahore: The Thal Industries Corporation Limited has issued a notice for its 72nd Annual General Meeting (AGM), which is set to take place on January 24, 2026, at 2:00 p.m. The meeting will be held at the company’s registered office in Mullen, and shareholders will also have the option to participate electronically via a video link or Zoom application.



The upcoming AGM will address several critical agenda items. The shareholders will first confirm the minutes of the previous AGM held on January 27, 2025. Following this, they will receive, consider, and adopt the company’s annual audited financial statements for the fiscal year ending September 30, 2025, along with the auditors’ and board of directors’ reports.



A significant item on the agenda is the proposal to approve a final cash dividend of Rs. 10.00 per share, representing a 100% payout for the year ended September 30, 2025. The Board of Directors recommended this dividend on December 24, 2025. Additionally, the meeting will address the appointment of auditors for the next financial year, with the retired auditors, Messrs. Rahman Sarfaraz Rahim Iqbal Rafiq, offering themselves for re-appointment.



According to information available from the Pakistan Stock Exchange (PSX), the meeting will also cover special business, including the approval of transactions with related parties during the period ending September 30, 2025. Notably, these include dealings with Naubahar Bottling Company (Pvt.) Limited, Baba Farid Sugar Mills Limited, and Almoiz Industries Limited. The transactions amounted to PKR 14.27 billion, PKR 9.23 million, and sales and purchases totaling PKR 561.06 million and PKR 126.28 million, respectively. Additionally, a land purchase transaction with Mr. Muhammad Shamim Khan was valued at PKR 1.50 billion.



The meeting agenda includes a proposal to authorize the Chief Executive Officer or his nominee to approve transactions with related parties until the next AGM. The company emphasizes that these transactions are conducted in the ordinary course of business and adhere to the arm’s length principle.



For shareholders, the transfer books will remain closed from January 17 to January 24, 2026. Shareholders wishing to vote or appoint a proxy must submit the necessary documentation to the company’s registered office at least 48 hours before the meeting.



The Thal Industries Corporation Limited encourages shareholders to participate electronically, in line with directives from the Securities and Exchange Commission of Pakistan (SECP) and other government instructions. The company has ensured that online and physical participation options are available, adhering to legal and regulatory requirements.



The AGM notice, proxy forms, and the audited financial statements for the fiscal year ending September 30, 2025, are available on the company’s website and the PSX’s PUCARS portal. The company also highlights the importance of shareholders providing mandatory information such as email addresses, CNIC, and International Bank Account Numbers (IBAN) to ensure compliance with applicable laws and regulations.
