Lahore: Fauji Cement Company Limited announced the completion of a significant acquisition move by securing an 84.06% equity stake in Attock Cement Pakistan Limited, as per the sale and purchase agreement finalized on April 24, 2026. The transaction, executed in collaboration with Kot Addu Power Company Limited, marks a strategic acquisition aimed at consolidating control and expanding the company’s footprint within the cement manufacturing sector.
The transaction, initially outlined in an agreement dated January 30, 2026, involved a pivotal arrangement between Fauji Cement and Pharaon Investment Group Limited Holding S.A.L., the seller. This acquisition not only grants joint control over Attock Cement but also includes an additional 7.97% shareholding acquired through a mandatory tender offer. This step was conducted in accordance with the Securities Act, 2015, and the Listed Companies (Substantial Acquisitions of Voting Shares and Takeovers) Regulations, 2017.
According to information available from the Pakistan Stock Exchange (PSX), the completion of the deal signifies that the purchasers now command approximately 92.03% of Attock Cement’s issued ordinary share capital. The cement company is renowned for its involvement in the manufacturing and sale of cement, a key sector within the designated market category.
The formalities of the transaction were communicated to the Pakistan Stock Exchange, the target company, and the Securities and Exchange Commission of Pakistan, following the conclusion of the mandatory tender offer on April 16, 2026. This development was overseen by Integrated Equities Limited, the appointed Manager to the Offer.
