Kot Addu Power Company Secures Approval for USD 47.5 Million Financing to Acquire Attock Cement Shares

Lahore: Kot Addu Power Company Limited has received approval from its members to secure financing facilities and incur debt obligations amounting to USD 47.5 million. This decision was made during the company’s 15th Extraordinary General Meeting held on July 13, 2026, and was announced on July 14, 2026. The financing is aimed at acquiring shares of Attock Cement Pakistan Limited.

The resolution, passed in accordance with Article 41(c) of the company’s Articles of Association and the Companies Act, 2017, grants the company the authority to arrange for the necessary financial facilities. These arrangements include related securities, guarantees, indemnities, charges, mortgages, and ancillary financing arrangements.

According to information available from the Pakistan Stock Exchange (PSX), the members also authorized specific company officials to act jointly on behalf of the company. The Chief Executive, the General Manager Finance/CFO, and/or the Company Secretary have been empowered to execute all necessary agreements, financing documents, and security documents related to this transaction.

In addition to the financing approval, the meeting saw the adoption of new Articles of Association for the company. These articles, identified by the initials of the Company Secretary, received unanimous approval from the members. The Chief Executive and/or the Company Secretary have been singly authorized to undertake all necessary actions, including filing required documents with the Securities and Exchange Commission of Pakistan (SECP) and any other relevant regulatory bodies.

The newly adopted Articles of Association are subject to modifications, amendments, additions, or deletions as directed by the SECP. These changes will be incorporated into the resolution without necessitating a fresh special resolution from the members.
