Lahore: LSE SPAC-II Limited has officially announced the scheduling of its first Annual General Meeting (AGM) on September 19, 2026. The meeting, set to commence at 09:30 a.m., will take place at the company's registered office located at The Exchange Hub, LSE Plaza, 19-Kashmir Egerton Road, Lahore. The agenda, which has been published in English and Urdu newspapers on August 29, 2026, includes several key points for shareholder consideration.
The AGM will address the adoption of the company's Annual Audited Financial Statements for the fiscal year ending June 30, 2026. Additionally, the shareholders will vote on the appointment of external auditors for the year ending June 30, 2027, and the determination of their remuneration.
In a significant move, the election of seven directors is also on the agenda, with the current board members eligible for re-election, including independent directors Syed Haider Mujtaba and Ms. Arooj Tariq, non-executive directors Syeda Noor ul Ain Ali, Ms. Qurat ul Ain Ali, Mr. Aoun Muhammad, Mr. Zia Ullah, and CEO Mr. Iqrar Shabbir.
A special resolution will be proposed to authorize the investment in the equity shares of M.P. Industries Limited, allowing LSE SPAC-II Limited to hold 15% of the post-issued paid-up share capital of the company. According to information available from the Pakistan Stock Exchange (PSX), this strategic investment aligns with the provisions of the Companies Act, 2017, and other relevant regulations.
The meeting's agenda also empowers the Chief Executive Officer to undertake necessary actions, including negotiating terms and executing required documents, to effectuate the proposed investment. Adjustments to the resolution may be made as required by regulatory authorities such as the Securities and Exchange Commission of Pakistan (SECP) and the Pakistan Stock Exchange, ensuring compliance with legal statutes while maintaining the resolution's original intent.
