Karachi: Indus Motor Company Limited has announced its 37th Annual General Meeting (AGM), scheduled to take place on Monday, September 28, 2026, at 9:00 a.m. The event will be held at Avari Towers on Fatima Jinnah Road, Karachi, with an option for shareholders to participate via a video-link facility. This meeting will cover the financial year ending June 30, 2026, and aims to address key business matters as outlined in the official notice.
The Company has confirmed that its Share Transfer Books will remain closed from September 22, 2026, to September 28, 2026, inclusive of both days. This closure is to facilitate the management of the AGM and ensure that all eligible shareholders are duly recorded.
Among the ordinary business items on the agenda is the review and adoption of the audited financial statements for the year ended June 30, 2026. Shareholders will have access to the Directors’ Report, Auditors’ Report, and the Chairman’s Review Report, which have been made available on the Company’s website as per Section 223(7) of the Companies Act, 2017.
A significant highlight of the AGM will be the approval of a final cash dividend. The Board of Directors has recommended a final cash dividend at a rate of 470%, equivalent to Rs. 47 per ordinary share. This is supplementary to the interim cash dividends already disbursed, which total 1480% or Rs. 148 per ordinary share. Consequently, the total cash dividend for the financial year 2025-26 will amount to 1950%, or Rs. 195 per ordinary share, indicating a very large move in shareholder returns.
In accordance with the AGM agenda, the Company will also deliberate on the appointment of external auditors for the following financial year ending June 30, 2027. The current auditors, M/s. A.F. Ferguson & Co., Chartered Accountants, are retiring but have expressed their willingness to continue, subject to re-appointment and agreement on remuneration terms.
