Karachi: Pakistan Refinery Limited (PRL) has issued a formal notice for its Sixty-sixth Annual General Meeting (AGM), slated to occur on October 7, 2026, at 11:00 AM. The meeting will take place at the company's premises on Korangi Creek Road, Karachi, as well as via a video-link facility, aiming to provide shareholders with the opportunity to discuss and vote on critical business matters.
The agenda for the AGM includes the approval of the audited financial statements for the fiscal year ending June 30, 2026. Shareholders will also review the accompanying reports from the board and auditors. Additionally, the election of directors will be conducted, with nominations required to be submitted to PRL's registered office no later than fourteen days before the meeting.
According to information available from the Pakistan Stock Exchange (PSX), the AGM notice is set to be published in Business Recorder and Nawa-e-Waqt on September 15, 2026. Shareholders are urged to convert their physical shares to book-entry form, in compliance with Section 72 of the Companies Act, 2017, a requirement emphasized by the Securities and Exchange Commission of Pakistan.
The company will elect ten directors for a term of three years, with a focus on ensuring that independent directors meet the independence criteria as set out in the Companies Act and corresponding regulations. PRL has also highlighted the prohibition of gifts at the AGM, in line with directives from the SECP.
Voting for the election of directors will be facilitated through e-voting and postal ballots. The e-voting window will open on October 1, 2026, and close on October 6, 2026, while postal ballots must reach the chairman by October 6, 2026. Members may also cast their votes in person at the meeting venue.
