Pakistan Refinery Limited Schedules Annual General Meeting Amid Revised Notice

Karachi: Pakistan Refinery Limited has announced a revised notice for its Sixty-sixth Annual General Meeting (AGM), slated to take place on Wednesday, October 21, 2026, at 11:00 a.m. The meeting will be held at the company's premises located on Korangi Creek Road, Karachi, and will also be accessible via a video-link facility.

According to the revised notice, the AGM will address several key business matters, including the receipt, consideration, and approval of the audited financial statements for the fiscal year ending June 30, 2026. The session will also incorporate reports from the company's board and auditors as part of the ordinary business agenda.

In adherence to Section 223(6) of the Companies Act, 2017, the company has initiated the electronic transmission of its Annual Report 2026. This report has been disseminated through a weblink, QR enabled code, and email to members whose email addresses are registered with the company's share registrar, M/s. FAMCO Share Registration Services (Pvt.) Limited. For members lacking registered email addresses, printed notices, along with the QR enabled code or weblink for downloading the report, have been dispatched. The annual report is also accessible electronically on PUCARS of the Pakistan Stock Exchange and the company's official website.

According to information available from the Pakistan Stock Exchange (PSX), the Annual Report 2026 is a crucial document reflecting the company's financial health and strategic direction.

Pakistan Refinery Limited has also made provisions for members to request hard copies of the Annual Report 2026, which will be provided free of charge within one week of the request. Members are encouraged to update their valid email addresses with the company's share registrar if they hold shares in physical form, or with their respective Participant/Investor Account Services, if shares are in book entry form.

The AGM will facilitate participation either through physical presence or via a video link facility. Members with shares deposited in the Central Depository Company of Pakistan Limited are required to present their Participant's ID Number, CDC Account/Sub-account Number, and original identification documents at the meeting.

The meeting will also see the reconstitution of the company's Board of Directors, with the election of ten directors for a three-year term. The term for the current directors expires on October 21, 2026. The election process will comply with Section 159 of the Companies Act, 2017, ensuring that independent directors meet the criteria outlined in Section 166 of the act and related regulations. Candidates for independent directorships are advised to familiarize themselves with the relevant legal and governance requirements.
