Bhanero Textile Mills Limited Reports Compliance with Corporate Regulations

Karachi: Bhanero Textile Mills Limited has released its annual compliance report for the year ending June 30, 2026. The report, dated October 6, 2026, outlines the company's adherence to regulatory requirements and corporate governance standards as mandated by the relevant authorities.

The textile firm, which is part of the designated market category of the Pakistan Stock Exchange, has declared a total of ten directors on its board. This includes nine male directors and one female director. The composition of the board features independent directors Mr. Tauqeer Ahmed Sheikh, Mr. Asif Elahi, and Mr. Mustafa Tanvir, alongside non-executive and executive directors, among whom Mrs. Saba Yousaf serves as the sole female representative.

The report confirms that none of the directors is serving on more than seven listed companies, ensuring compliance with the stipulated regulations. Bhanero Textile Mills Limited has also instituted a comprehensive code of conduct, which has been effectively disseminated across the company, accompanied by supporting policies and procedures.

According to information available from the Pakistan Stock Exchange (PSX), the Board of Directors has developed a vision and mission statement along with a corporate strategy and significant policies, maintaining a record of these documents along with their dates of approval or updates. The Board has exercised its powers in accordance with the provisions of the Act and Regulations, ensuring decisions on relevant matters are taken appropriately by the Board or shareholders.

The meetings of the Board were chaired by the designated Chairman, or in his absence, by an elected director, adhering to the frequency and procedural requirements of the Act and Regulations. Furthermore, the Board has established a transparent remuneration policy for its directors and has arranged a Directors' Training program, accrediting the entire board under this initiative.

Additionally, the Board has approved the appointments of the chief financial officer, company secretary, and head of internal audit, complying with relevant regulatory requirements. The financial statements were duly endorsed by the chief financial officer and chief executive officer before being approved by the Board.
