Islamabad: Shifa International Hospital Limited has revised its share capital subsequent to a judicially sanctioned merger, according to an auditor's certificate dated October 22, 2026. The revision follows a Scheme of Arrangement approved by the Islamabad High Court, under which shares were issued to the shareholders of Shifa Medical Center Islamabad (Private) Limited.
The statutory auditors were tasked with certifying the revised capital of the transferee company in compliance with the CDC Regulations. Their scope included confirming that all regulatory requirements were met, and that all movable and immovable assets associated with the issuance of securities were duly recorded and reflected in the company's audited unconsolidated financial statements for the year ending June 30, 2026.
According to the auditor's report, the authorized share capital of Shifa International Hospital Limited, prior to the merger, was Rs 1,000,000,000, divided into 100,000,000 shares of Rs 10 each. Out of these, 63,214,383 shares were issued and fully paid. Following the merger and the issuance of 78,860 additional shares, the paid-up share capital has increased to 63,293,243 shares, amounting to Rs 632,932,430.
The auditors verified compliance with section 282 of the Companies Act, 2017, and confirmed that all conditions imposed by the court, as per its order dated July 14, 2026, have been satisfied. This assurance was provided in accordance with the guidelines issued by The Institute of Chartered Accountants of Pakistan.
According to information available from the Pakistan Stock Exchange (PSX), this adjustment in share capital represents a minor move of 0.13%, reflecting the incremental increase in the number of shares issued under the Scheme of Arrangement.
The certificate issued by the auditors is intended exclusively for submission to the Central Depository Company of Pakistan as mandated by the CDC Regulations, restricting its use for any other purpose.
