Karachi: AGP Limited has officially scheduled its 12th Annual General Meeting (AGM) for April 20, 2026, at 11:00 AM. The meeting will take place at Ramada Karachi Creek, with options for both physical attendance and participation via video link, as confirmed in a notice dated March 30, 2026.
The Share Transfer Books of AGP Limited will be closed from April 13 to April 20, 2026, inclusive, and transfers received by the close of business on April 12 at the office of CDC Share Registrar Services Limited will be considered valid for entitlement.
The AGM will address several key agenda items, including the confirmation of minutes from the previous meeting held on April 10, 2025, and the adoption of the company’s financial statements for the year ending December 31, 2025. Shareholders will also deliberate on the appointment of auditors for the forthcoming year and the approval of a final dividend of PKR 6.00 per share, equating to 60%, as recommended by the Board of Directors. This dividend rate represents a significant move.
In special business, a proposal to amend the Articles of Association to implement an Employee Stock Option Scheme (ESOS) will be considered. Another major agenda item is the buy-back of up to 5.6 million of the company’s own shares, representing 2% of total paid-up capital, through the Pakistan Stock Exchange. According to information available from the Pakistan Stock Exchange (PSX), the purchase will occur within a 180-day period, starting April 22, 2026, and ending October 18, 2026, or upon completion of the buy-back.
Furthermore, the AGM will see discussions on the renewal and enhancement of funding facilities with associated companies, namely OBS AGP (Private) Limited and OBS Pakistan (Private) Limited. The facilities will be increased from PKR 500 million to PKR 1,000 million, each for a period of 12 months, with provisions for annual renewal.
In compliance with directives from the Securities and Exchange Commission of Pakistan (SECP), AGP Limited has arranged for shareholder participation through electronic means, ensuring accessibility in addition to the physical meeting.
