AK Smelters and Re-Roller (Pvt) Ltd Penalized for Non-Compliance with Companies Act

Lahore: M/S. AK Smelters and Re-Roller (Private) Limited has been ordered to pay a penalty of Rs. 10,000 following proceedings initiated through a Show Cause Notice (SCN) dated February 20, 2024. The penalty arises from the company's failure to file its audited financial statements for the year ended 2023 within the stipulated timeline as required by the Companies Act, 2017.

The issue began when the company did not submit its financial statements to the "Registrar" as mandated by Section 233 of the Companies Act, 2017. This section requires that such statements be filed within thirty days of the annual general meeting for listed companies, and within fifteen days for others. The non-compliance led to the issuance of the SCN, which served as a formal notice for the company to show cause why penal action should not be taken.

Despite multiple opportunities to address the SCN, including hearings scheduled on February 28, March 9, and March 18, 2024, the company and its chief executive/directors failed to appear or respond. Consequently, the adjudication proceeded ex-parte, resulting in the penalty imposition.

According to information available from the Pakistan Stock Exchange (PSX), the company's failure to adhere to the regulatory requirements raised concerns about its management's internal controls and financial reporting systems. The Securities and Exchange Commission of Pakistan (SECP) emphasized the importance of timely and accurate financial disclosures, which are crucial for transparency and management accountability.

Adjudication Officer, Adjudication Department-II, Lahore, who was delegated the authority under Commission's Notification S.R.O. 1546 (1)/2019, concluded that the company's actions were deliberate and constituted a significant breach of the law. The imposed penalty is to be deposited within thirty days from the order receipt in the designated bank accounts of the SECP.

This decision underscores the SECP's commitment to enforcing compliance and ensuring that companies adhere to the statutory requirements of financial reporting. Failure to do so not only results in financial penalties but also impacts the trust and reliability of the company's financial information in the market.
