Karachi: Apna Microfinance Bank Limited has announced the convening of its 23rd Annual General Meeting (AGM). Scheduled for March 27, 2026, the meeting will take place at the bank’s registered office on Ch. Khaliq-uz-Zaman Road, Gizri, Karachi, as well as virtually via Zoom. The meeting will commence at 9:00 am and will address several key business agendas.
The primary agenda includes confirming the minutes of the Extraordinary General Meeting held on June 18, 2025, and reviewing the Annual Audited Financial Statements for the year ending December 31, 2025. The financial statements are accessible online, as mandated by Section 223 of the Companies Act, 2017.
Further, the AGM will appoint statutory auditors for the year ending December 31, 2026. The Board of Directors, following recommendations from the Board Audit Committee, proposes M/s. Rahman Sarfaraz Rahim Iqbal Rafiq, Chartered Accountants, for the role.
Share transfer books will remain closed from March 21 to March 27, 2026. Shareholders listed in the Register of Members by March 20, 2026, will be eligible to participate in the AGM. Transfers must be processed through M/s. F.D. Registrar Services by the close of business on March 20.
In addition to the ordinary business, the meeting will also facilitate shareholder participation through video-link, ensuring accessibility for all members. Apna Microfinance Bank has emphasized adherence to statutory codes of conduct during the AGM.
According to information available from the Pakistan Stock Exchange (PSX), the meeting will also be an opportunity for shareholders to address any queries or suggestions pertinent to the agenda, which will be incorporated into the meeting minutes. The bank assures that no gifts will be distributed, as per Section 185 of the Companies Act, 2017.
Shareholders are urged to convert physical shares into a book-entry form to benefit from secure custody and streamlined processes. The conversion can be facilitated through brokers or CDC services.
Corporate shareholders are required to submit nominations for representation at the AGM, with necessary documents, two days prior to the meeting. Proxies must be registered 48 hours before the AGM, ensuring efficient representation and voting.
