Aruj Industries Faces Compliance Deadline Amid Buy-Back Directive

Karachi: Aruj Industries Limited, a company listed on the Pakistan Stock Exchange (PSX), has been directed to address a compliance issue or face potential winding-up proceedings. According to a notice issued by the PSX, the company has until January 26, 2026, to rectify its non-compliance with PSX Regulation 5.11.1.(d) or adhere to a compulsory buy-back directive issued to its sponsors and majority shareholders.

The compliance issue stems from Aruj Industries’ failure to settle outstanding dues with the PSX. This situation was initially communicated in a PSX notice dated October 27, 2025. The PSX has made it clear that if the company does not comply by the January deadline, it will escalate the matter to the Securities and Exchange Commission of Pakistan (SECP) under clause 5.11.3.(e) of the PSX Regulations. This could lead to the initiation of winding-up proceedings against the company under the Companies Act, 2017.

According to information available from the Pakistan Stock Exchange (PSX), the directive serves as a critical reminder for sponsors and majority shareholders of Aruj Industries to address the overdue obligations promptly. The compliance deadline is a crucial juncture for the company as it seeks to avoid potential legal and financial repercussions.

The PSX’s action reflects its regulatory oversight and commitment to enforce compliance among listed entities. As the deadline approaches, all concerned parties have been urged to take note of the situation and ensure that the necessary steps are taken to resolve the outstanding issues.
