Baba Farid Sugar Mills Limited Announces 47th Annual General Meeting Agenda

Lahore: The Baba Farid Sugar Mills Limited has announced the agenda for its 47th Annual General Meeting (AGM), scheduled for January 26, 2026. The meeting will be held at the company's registered office in Gulberg III, Lahore, and will also be accessible via a video link using the Zoom application. This hybrid format aims to accommodate shareholders who prefer to participate remotely.

The AGM's ordinary business will include the confirmation of minutes from the previous meeting held on January 28, 2025. Shareholders will review and adopt the company's audited financial statements for the fiscal year ending September 30, 2025, alongside the auditors' and directors' reports. Additionally, a final cash dividend of 20% per share, as recommended by the board on December 24, 2025, will be considered for approval. The agenda also includes the appointment of auditors for the upcoming financial year, with M/s. BDO Ebrahim & Co. Chartered Accountants offering themselves for reappointment.

Special business will focus on ratifying transactions with related parties, which were conducted in the normal course of business during the fiscal year ending September 30, 2025. These transactions will be presented as special resolutions for shareholder approval. The related parties involved include Naubahar Bottling Company (Pvt.) Limited, The Thal Industries Corporation Limited, and Almoiz Industries Limited.

According to information available from the Pakistan Stock Exchange (PSX), the transactions include the sale of sugar to Naubahar Bottling Company (Pvt.) Limited, amounting to 1.74 billion PKR, and various purchases and sales with The Thal Industries Corporation Limited and Almoiz Industries Limited. The transactions are in line with the company's Related Party Transactions Policy and were conducted on an arm's length basis.

Share transfer books will be closed from January 19 to January 26, 2026. Transfers received by the close of business on January 18, 2026, will be eligible for attendance and voting at the AGM. Shareholders intending to vote by proxy must submit their documentation 48 hours before the meeting.

The company has made provisions for online participation, ensuring compliance with legal and regulatory requirements for general meetings. Shareholders can register for electronic participation by providing their details via email by January 25, 2026. The company encourages shareholders to submit comments or suggestions on agenda items via email by the same date.

In preparation for the AGM, shareholders are reminded of the mandatory conversion of physical share certificates into book entry form and the requirement to provide bank account details for electronic dividend payments. The company has also appointed M/s. BDO Ebrahim & Co. as the scrutinizer for special business conducted during the AGM.
