Best Fabrics (Pvt.) Limited Penalized for Non-Compliance with Financial Statement Filings

Lahore: The Securities and Exchange Commission of Pakistan (SECP) has imposed a penalty on Best Fabrics (Private) Limited, following the company's persistent failure to file its audited financial statements for the fiscal years 2021 and 2022. The official order was announced on August 16, 2023, concluding a series of hearings and proceedings initiated under the Companies Act, 2017.

The proceedings, detailed in a Show Cause Notice (SCN) issued on July 11, 2023, were conducted under Section 233 read with Section 479 of the Companies Act, 2017. The company, along with its directors and chief executive, faced scrutiny for not submitting the required financial documents to the Registrar within the prescribed timeline, as mandated by the Act. Despite multiple opportunities for a hearing provided on July 18, July 27, and August 10, 2023, the company failed to appear or respond, prompting the SECP to proceed with an ex-parte decision.

According to information available from the Pakistan Stock Exchange (PSX), the absence of timely financial filings can significantly impede the transparency and reliability of a company's financial position and performance, affecting stakeholders and market operations. The SECP emphasized the crucial nature of adhering to financial reporting timelines to ensure accountability and transparency in corporate governance.

The SECP, exercising its delegated powers through Notification S.R.O. 1546 (1)12019, imposed a penalty of 25,000 Pakistani Rupees on Best Fabrics (Private) Limited. The penalty must be paid within thirty days to the designated bank accounts of either MCB Bank Limited or UBL Bank Limited, maintained under the Securities and Exchange Commission of Pakistan. Failure to comply with this order may result in further recovery proceedings against the company and its directors.
