Biafo Industries Limited Announces 36th Annual General Meeting with Dividend Declarations and Special Resolutions


Islamabad: Biafo Industries Limited has announced that its 36th Annual General Meeting (AGM) will be held on October 24, 2024, in Islamabad, as part of its yearly corporate governance routine. The agenda, primarily focusing on standard procedural matters and a significant digital adaptation for document dissemination, aims to enhance shareholder access and engagement. According to information available from the Pakistan Stock Exchange (PSX), the company is taking strides in both dividend distribution and innovative shareholder communication.



The company’s share transfer books will be closed from October 17, 2024, to October 24, 2024, to facilitate the AGM proceedings. This closure aligns with the company’s administrative requirements for finalizing shareholder entitlements for the dividend payouts.



During the AGM, shareholders are expected to confirm the minutes of the last meeting held on October 25, 2023, and adopt the audited financial statements for the year ended June 30, 2024, along with the Auditors’ and Directors’ reports. A noteworthy item on the agenda is the approval of a substantial cash dividend totaling Rs. 4.60 per share (46%), including a final dividend and an interim dividend, both set at Rs. 2.30 per share (23%).



Further business includes the reappointment of the company’s auditors, M/s Yousuf Adil Chartered Accountants, for the fiscal year 2024-25, with a mandate to fix their remuneration. The auditors, being eligible, have offered themselves for reappointment, maintaining continuity in the company’s financial oversight practices.



A special resolution is also slated for consideration regarding the digital transmission of annual audited accounts through QR-enabled codes and web links. This initiative, compliant with the S.R.O. 389 (I)/2023 issued by the Securities and Exchange Commission of Pakistan, aims to modernize the distribution of mandatory financial documents to shareholders. The resolution facilitates electronic delivery of these documents, allowing shareholders who prefer digital access a more direct and efficient way to obtain important financial data. However, provisions are made for shareholders desiring hard copies, requiring them to request these specifically.



The AGM will also address any other business that may arise, with the Chairman’s permission, ensuring a comprehensive review of the company’s operations and strategic direction over the past year.
