Lahore: In a significant development, MIS. BUILTEC Plastics (Pvt.) Limited has been involved in legal proceedings following their failure to comply with the requirements of the Companies Act, 2017. The proceedings were initiated through a Show Cause Notice (SCN) issued on February 07, 2024, under Section 233 read with Section 479 of the Act. The company, along with its directors and chief executive, faced allegations of not filing their audited financial statements for the year ended 2023 with the Registrar within the stipulated timeline.
The SCN, dated February 07, 2024, demanded that the company and its directors explain why penal action should not be taken against them for contravening the provisions of the Act. Despite multiple opportunities to present their case, including hearings scheduled on February 16, February 26, and March 05, 2024, the company and its representatives failed to appear or respond.
According to information available from the Pakistan Stock Exchange (PSX), the company's non-compliance with the Act raised concerns about the management's systems and internal controls. The failure to submit financial statements on time is seen as a serious breach, prompting the Commission to consider stern action against BUILTEC Plastics.
However, during the course of the adjudication proceedings, the company eventually filed the requisite returns with the Registrar, Corporate Registry Department, Faisalabad. This compliance was verified by the Registrar, leading the adjudication officer to condone the penalty. Instead, a "warning" was issued to the company and its directors to ensure future adherence to the law.
The adjudication officer underscored the importance of timely and accurate financial reporting, emphasizing that directors must exercise utmost care in business decisions to fulfill their fiduciary duties. While the company's eventual compliance was acknowledged, the warning serves as a reminder to uphold the letter and spirit of the law.
