Calcorp Limited Announces Book Closure for Share Transfer

Karachi: Calcorp Limited has announced a closure of its share transfer books from April 10 to April 16, 2025. This closure is intended to determine the eligibility of shareholders to receive offer letters related to a public acquisition offer.

The book closure is being implemented in accordance with Regulation 9 of the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017. The regulation requires that eligibility be assessed for a public acquisition offer by JS Global Capital, acting as the manager on behalf of the acquirers. The acquirers in this transaction are Mr. Asif Ali Shaikh, Mr. Muhammad Hanif Shaikh, and Mr. Kashif Mumtaz.

The acquisition involves up to 861,970 shares, which represent 8.02% of the issued ordinary share capital of Calcorp Limited. The offer was publicly announced on March 5, 2025, with notices published in "The News" and "fang" newspapers.

According to information available from the Pakistan Stock Exchange (PSX), the market category for this acquisition falls under the substantial acquisition of voting shares and takeovers. This move is part of a strategic effort by the acquirers to increase their stake in Calcorp Limited.

The decision to close the share transfer books is a critical step in facilitating the offer process, ensuring that all eligible shareholders receive the necessary documentation in a timely manner. The specified period for book closure is inclusive of both start and end dates, indicating a seven-day window for this administrative procedure.
