Calicom Industries Acquires Additional Shares in Dandot Cement Company

Karachi: Dandot Cement Company Limited has announced a recent transaction involving one of its substantial shareholders. According to a disclosure dated December 24, 2025, Calicom Industries (Pvt) Limited, a significant shareholder in Dandot Cement, has acquired an additional 400,000 shares. The transaction was completed on December 23, 2025, at a rate of 24.90 per share. Following this acquisition, Calicom Industries now holds a cumulative total of 227.03 million shares, representing a 71.76% stake in the company.

According to information available from the Pakistan Stock Exchange (PSX), this movement of shares by a substantial shareholder is subject to regulatory scrutiny and compliance. The transaction will be presented by the Company Secretary at the next Board of Directors meeting, as mandated by PSX Regulation 5.6.0. The company's procedures also require that extracts of the transaction minutes be submitted through Form-30 to the PSX's Correspondence Manual.

Moreover, the company must adhere to certain holding period regulations. If the holding period of the transaction is less than six months, any profit derived from such a transaction must be deposited with the Securities and Exchange Commission of Pakistan (SECP) in compliance with Section 105 of the Securities Act, 2015. Additionally, directors, the CEO, and executives are prohibited from dealing in the company's shares during closed periods.
