Citi Pharma Limited Announces Strategic Expansion through Acquisition

Lahore: Citi Pharma Limited, identified on the Pakistan Stock Exchange (PSX: CPHL), has announced the approval of a proposal by its Board of Directors on May 6, 2026, for the acquisition of a complete 100% shareholding of Pakheim International Pharmaceuticals (Private) Limited. This acquisition, which awaits formal approvals from relevant authorities, includes all associated assets, licenses, and operations. The move is aimed at boosting Citi Pharma’s manufacturing capacity and enhancing its product portfolio and market footprint.

According to information available from the Pakistan Stock Exchange (PSX), the acquisition will be financed through a mix of internal cash resources and available banking facilities. The transaction is contingent upon the completion of legal, financial, and tax due diligence, alongside requisite approvals under applicable laws and regulations.

Pakheim International Pharmaceuticals, known for its pharmaceutical manufacturing and DRAP registered products, is expected to generate operational synergies for Citi Pharma. The acquisition is anticipated to result in long-term strategic value, aiming to escalate the annual revenue from approximately PKR 500 million currently to PKR 5 billion over the next five years. This ambitious growth plan will be driven by portfolio expansion, enhanced distribution networks, and investments in advanced manufacturing and product development.

Citi Pharma’s management has structured the transaction with a flexible payment plan extending until December 31, 2026, to be fulfilled through its operational cash flows. This will ensure financial discipline and sustainability while strengthening Citi Pharma’s active pharmaceutical ingredient (API) business by sourcing directly from the acquired operations.

Additionally, the acquisition is set to provide Citi Pharma with a new brand identity within the trading segment, facilitating enhanced market presence, an expanded customer base, and increased trading volumes. The strategic expansion aligns with Citi Pharma’s vision of becoming a leading pharmaceutical group in the region and underscores its commitment to innovation, growth, and excellence.
