Lahore: Cordoba Logistics & Ventures Limited has scheduled its 40th Annual General Meeting (AGM) for October 28, 2026, at 11:00 am at the Pakistan Stock Exchange Limited's Auditorium in Lahore, with an option for participation through video link. This meeting will address both ordinary and special business matters, as outlined in the recent notice of the event.
The agenda for the ordinary business includes confirmation of the previous AGM minutes from October 28, 2025. Participants will review and adopt the Directors' and Auditors' Reports alongside the Audited Annual Financial Statements for the fiscal year ending June 30, 2026. The Board of Directors, following the Audit Committee's recommendation, has proposed the re-appointment of M/s Parker Russell-A.J.S. Chartered Accountants as the company’s external auditors for the next fiscal year ending on June 30, 2027.
Special business on the agenda includes the restructuring of an outstanding Sponsor's loan, effective from June 30, 2026. The company plans to settle this loan through monetary payment or conversion into equity at its discretion. This restructuring will cease further interest, mark-up, or any other return on the loan amount from the specified date, empowering the Chief Executive and Company Secretary to execute necessary actions for this transition.
A significant resolution under discussion is the proposed increase in the investment limit for Cordoba Financial Services Limited, a subsidiary of Cordoba Logistics & Ventures Limited. The proposal seeks to elevate the current investment cap from PKR 1.00 billion to PKR 2.00 billion. According to information available from the Pakistan Stock Exchange (PSX), this strategic move includes the provision of loans or advances and the furnishing of corporate guarantees for financing undertaken by the subsidiary from financial institutions. The company's aggregate exposure under these financial commitments will not exceed PKR 2.00 billion at any time.
In addition to these items, the meeting will accommodate any other business, pending the Chair’s approval. As stipulated by Section 134(3) of the Companies Act, 2017, a statement detailing all material facts concerning the special business items is annexed with the AGM notice.
