Emco Industries Limited Announces Extraordinary General Meeting with New Board Elections

Lahore: Emco Industries Limited is set to hold an Extraordinary General Meeting (EGM) on June 29, 2026, as per a company notice circulated under Clause 5.6.9(b) of the Pakistan Stock Exchange (PSX) Rule Book. The meeting will take place at ICC House, Lahore, and will also be accessible via video conferencing.

The meeting's agenda includes confirming the minutes of the previous general meeting held on October 14, 2025, and the election of nine directors. This follows a decision by the board on April 29, 2026, to reduce the number of directors from 12 to nine for the upcoming term, commencing July 1, 2026. Notably, Ch. Imran Ali will not stand for re-election due to reaching the maximum tenure for an independent director.

According to information available from the Pakistan Stock Exchange (PSX), the board will also address special business items. These include approving the dissemination of annual audited financial statements through QR codes and weblinks, a shift away from traditional CD/DVD/USB formats, in line with regulatory changes notified by the Securities and Exchange Commission of Pakistan (SECP) in March 2023.

Additionally, shareholders will consider authorizing two executive directors to approve related party transactions for the financial year 2025-2026 and beyond. This authorization is subject to audit committee review and board approval, ensuring compliance with applicable regulations.

The EGM notice specifies that further general business may be transacted with the chair's permission, indicating potential for additional discussions beyond the outlined agenda.
