Lahore: Fatima Fertilizer Company Limited held its 22nd Annual General Meeting on April 18, 2025, during which several resolutions were passed, including the approval of financial statements, dividend distribution, and auditor reappointment.
The meeting included the confirmation and adoption of the minutes from the previous Annual General Meeting held on April 29, 2024, and the Extraordinary General Meeting on January 21, 2025. The shareholders approved the standalone and consolidated audited financial statements for the year ending December 31, 2024, along with the accompanying Directors' and Auditors' Reports and the Chairman's review report.
A significant decision made during the meeting was the approval of a final cash dividend of PKR 4.25 per share, equivalent to 42.5% for the year ending December 31, 2024. This is in addition to an interim dividend of PKR 2.75 per share, or 27.5%, paid earlier in the year, bringing the total dividend for 2024 to PKR 7.00 per share, equating to 70%. The dividend will be disbursed to shareholders listed on the Register of Members as of April 10, 2025.
The meeting also resolved to authorize key executives, including the Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, Company Secretary, and Deputy Company Secretary, to undertake necessary actions to implement the resolutions approved.
Additionally, the shareholders reappointed M/s. Yousuf Adil Chartered Accountants as the Company's auditors for the fiscal year ending December 31, 2025. The auditors will serve until the conclusion of the next Annual General Meeting, with their remuneration to be determined by the Board of Directors.
