Fauji Cement Company Limited Shareholders Approve Key Resolutions at Annual General Meeting

Islamabad: Fauji Cement Company Limited (FCCL) convened its 34th Annual General Meeting (AGM) at the Jacaranda Club, Islamabad, on Monday, September 28, 2026. The meeting, attended by shareholders, resulted in the adoption of several key resolutions concerning the company's financial and operational directives for the upcoming fiscal year.

The AGM addressed ordinary business, including the approval of the company's audited financial statements for the fiscal year ending June 30, 2026. Shareholders unanimously resolved to adopt the Annual Audited Accounts, alongside the Directors' and Auditors' Reports for the same period. This approval underscores the company's commitment to transparency and compliance with financial oversight.

In a separate resolution, the assembly appointed M/s A. F. Ferguson & Co as the Statutory Auditors for the fiscal year 2026/27. The shareholders approved their remuneration, set at Rs 6.60 million, in addition to out-of-pocket expenses for various audit-related activities. This decision aligns with the company's adherence to the Listed Companies (Code of Corporate Governance) Regulations 2019.

The meeting also saw the approval of a final cash dividend of 15%, equivalent to Rs 1.50 per share, for the year ended June 30, 2026. This move was recommended during the Board of Directors' meeting held on August 11, 2026, and reflects the company's stable financial performance and commitment to shareholder returns.

A special resolution was adopted to alter the Articles of Association of FCCL. The proposed changes, detailed in an annexure to the resolution, were approved to streamline the company's governance framework. The Company Secretary has been authorized to implement these changes and undertake necessary filings with the Company Registration Office in Islamabad.

According to information available from the Pakistan Stock Exchange (PSX), these resolutions are pivotal for FCCL's strategic positioning in the market, ensuring compliance and operational efficiency.

The resolutions adopted during the AGM represent "Certified True Copies" of the actual decisions made by the shareholders, as verified and documented by the company.
