Lahore: First Capital Equities Limited (FCEL) has officially announced the date for its 30th Annual General Meeting (AGM), scheduled to take place on Tuesday, October 28, 2025. The meeting will be held at 11:00 a.m. at the company’s registered office, First Capital House, located on M.M. Alam Road in Gulberg-III, Lahore.
The agenda for the AGM includes several key items of ordinary business. Shareholders will be asked to confirm the minutes from the previous AGM held on October 28, 2024, and to receive and consider the adoption of the audited financial statements for the fiscal year ending June 30, 2025. These financial documents will be accompanied by the Chairman’s Review, Directors’ Report, and the Auditors’ reports. Additionally, the appointment of auditors for the financial year ending June 30, 2026, along with the determination of their remuneration, is on the docket.
Shareholders should note that the distribution of gifts is not part of the AGM proceedings, as per the company’s adherence to the Guidelines for Professional Conduct in General Meetings issued by the Securities and Exchange Commission of Pakistan (SECP). The company is promoting the conversion of physical shares into a book-entry form, as mandated by Section 72 of the Companies Act, 2017. Shareholders with physical shares are encouraged to open a CDC sub-account or an Investor Account with the CDC to transition their holdings to a scripless form.
First Capital Equities Limited also requests shareholders to promptly notify any changes in their addresses to the share registrar, Corplink (Pvt.) The company has provided detailed guidelines for the appointment of proxies, requiring submission of the proxy form and related documents at least 48 hours before the meeting. Proxies must be accompanied by notarized copies of CNIC or passports and be witnessed by two individuals, with their details included on the form. For corporate entities, a Board of Directors’ Resolution or Power of Attorney with specimen signatures must be submitted unless already provided.
