Lahore: The First Treet Manufacturing Modaraba (FTMM) has declared that its 19th Annual Review Meeting will convene on Monday, October 27, 2025, at 10:00 A.M. The meeting is scheduled to take place at Ali Auditorium, located on Ferozepur Road, Shahrah-e-Roomi in Lahore.
The agenda of the meeting includes the confirmation of the minutes from the previous Annual Review Meeting held on October 28, 2024. Attendees will also review and adopt the Annual Audited Financial Statements for the fiscal year ending June 30, 2025, alongside the Directors' and Auditors' Reports.
In a move to appoint new auditors, the Board of Directors has recommended M/s BDO Ebrahim & Co. - Chartered Accountants, to replace the retiring auditors, M/s Rahman Sarfaraz Rahim Iqbal Rafiq & Co.
The meeting will also address the ratification and approval of arm's length transactions conducted with associated companies, in accordance with Section 208 of the Companies Act, 2017. A special resolution will be proposed to authorize the Chief Executive Officer to handle related party transactions for the year ended June 30, 2025.
Additionally, the Board of Directors will seek authorization to approve related party transactions on a case-to-case basis for the financial year ending June 30, 2026. According to information available from the Pakistan Stock Exchange (PSX), these transactions will later be presented to shareholders for formal ratification.
The Certificate Transfer Books will be closed from October 21, 2025, to October 27, 2025, to determine eligible certificate holders for the meeting. Proxies must be submitted 48 hours before the meeting to be effective.
FTMM encourages members to participate in the meeting electronically, adhering to guidelines from the Securities and Exchange Commission of Pakistan (SECP). Members can register for electronic participation via a designated email, with the login facility available 30 minutes prior to the meeting.
For those unable to attend in person, the option to vote through e-voting or postal ballot is available. E-voting lines will open from October 24, 2025, to October 26, 2025.
FTMM has reiterated the prohibition on gifts or incentives to certificate holders at or in connection with general meetings, in compliance with SECP's Circular 2 of 2018.
Certificate holders are reminded to ensure claims for unclaimed dividends, as per Section 244 of the Companies Act, 2017, are lodged promptly to avoid funds being deposited with the Federal Government.
